Welcome to UpBracket. This document constitutes a legally binding agreement between you (the client/user) and UpBracket. These Terms and Conditions govern your access to and use of our services, including but not limited to Website Design, Web Development, Software Solutions, Digital Marketing, and ongoing Maintenance and Support.
By commissioning our services, accessing our website, or utilizing our software products, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any provision of these Terms, you must not use our services.
1. Scope of Services & Restrictions
UpBracket grants you a limited, non-exclusive right to use the deliverables provided to you, strictly under the terms of your specific project agreement. To protect our intellectual property and ensure security, the following restrictions apply:
- You may not reverse engineer, decompile, or disassemble any proprietary software, web portal, or application developed by UpBracket.
- You are prohibited from copying, distributing, reselling, or leasing any source code, templates, or design assets provided by UpBracket to third parties without explicit written consent.
- Unless a source code handover is specifically outlined in your project contract, UpBracket retains full ownership of the underlying core code and structural frameworks used to build your project.
- Modifications or updates to the core functionality of delivered products should be handled by UpBracket. Unauthorized structural changes made by the client that break the website void our free support obligations.
2. Payment Terms, Refunds, and Cancellations
We believe in transparent pricing and clear payment structures to ensure smooth project execution.
- Payment Methods: We accept payments via Bank Transfer, Online Payment Gateways (Credit/Debit Card, Net Banking), and UPI/NEFT.
- Upfront Payment: Project development commences only after a standard minimum deposit (typically 50%, unless otherwise stated in your invoice) is received and cleared.
- Non-Refundable: Due to the custom nature of our digital services, all payments made towards design, development, and marketing campaigns are strictly non-refundable once work has commenced.
- Delays and Dues: If a client fails to clear pending dues within the stipulated timeframe, UpBracket reserves the right to suspend ongoing services, pause development, or take down hosted sites until the balance is resolved. UpBracket is not liable for business loss resulting from such suspensions.
- Project Cancellations: If a client abandons a project or breaches this agreement, UpBracket holds the right to terminate the project without refunding the initial deposit.
3. Project Timelines & Client Responsibilities
Successful projects require collaboration. We provide an estimated completion timeline based on the project scope. However, this timeline is contingent upon the client providing necessary assets (text, images, approvals) promptly. If a project is delayed significantly due to client inaction, UpBracket may levy a holding fee or re-evaluate the project timeline.
4. Third-Party Services and Hosting
- Services requiring third-party vendors (e.g., Domain Registration, Cloud Hosting, SSL Certificates, Payment Gateways, API providers) are bound by the terms and conditions of those respective vendors.
- UpBracket is not responsible for outages, data loss, or price changes imposed by third-party hosting or service providers.
- The client is solely responsible for tracking and paying for the renewal of their domains and hosting packages on time.
5. Support and Maintenance
We stand by the quality of our work. Post-launch support typically includes:
- A standard bug-fixing and basic support period (usually 30 days) following the deployment of a website or application.
- All technical support requests must be submitted through our official communication channels (email or ticketing system).
- After the initial free support period, continued support, updates, and maintenance require an active Annual Maintenance Contract (AMC) or will be billed at our standard hourly rate.
6. Search Engine Optimization (SEO)
While we build websites following current SEO best practices and offer dedicated marketing campaigns, UpBracket does not guarantee specific search engine rankings or traffic volumes, as these are determined by ever-changing third-party algorithms (like Google).
7. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Gorakhpur, Uttar Pradesh.
